BOARD & DIRECTORSHIPS
Board and Swiss Resident Director Appointments
I take on independent non-executive and Swiss resident director appointments, on personal title, for startups, SMEs and international companies in Switzerland. Beyond the formality of the office, I bring governance, oversight and an outside view to the board, and I state the conditions on which I accept a mandate in writing before it begins.

FAQ
Frequently Asked Questions
Do I need a Swiss resident director to form a company in Switzerland?
Yes. Swiss law requires at least one person resident in Switzerland who can represent the company, either a member of the board or a managing officer (Art. 718 para. 4 CO for an AG, Art. 814 para. 3 CO for a GmbH).
Do you accept board positions outside Switzerland?
Yes. Get in touch to discuss the company and the role.
What does the office carry?
A company that appoints a Swiss resident director is appointing someone who carries personal liability under the Swiss Code of Obligations: for social security contributions, for tax, for the over-indebtedness duties and for the general duty of care. I accept that liability, and I state the conditions on which I will accept a mandate in writing before it begins, not after.
On what conditions do you accept a mandate?
• An undated, pre-signed resignation and a right to have myself removed from the register
an indemnity from the company
• Advance funding of statutory costs
• D&O insurance paid by the company
• Read-only access to the banking and accounting applications, which the mandate needs to be done properly.
What do you not take on?
Four things often bundled with resident director mandates are deliberately outside what I do.
• Registered office and domiciliation: providing a registered address for more than six months is a supervised activity under the revised Anti-Money Laundering Act, so I introduce a specialized provider instead, who contracts with and invoices the company directly.
• Non-operational entities: domicile, letterbox and shelf companies, and entities not established to conduct or support a real operating business, are outside my scope; this is a condition, not a preference.
• Nominee and passive appointments.
• Bank signing authority: I do not seek it and decline sole banking authority if offered, because payment authority belongs with operational management, and that separation protects both sides.
These boundaries keep me to operating businesses with real activity in Switzerland, the only setting in which an engaged office holder makes sense.
Are your board seats independent?
Seats I take on personal title in companies outside my own venture studio are independent. Seats in companies I help build through the studio are not, and I do not describe them as such.
What types of companies do you work with?
Swiss-based and international companies with, or establishing, an entity in Switzerland: startups, SMEs and larger companies; private and public companies; GmbH and AG; subsidiaries, branches and holding companies.
How quickly can we get started?
Typically two to three weeks from the intro call to the entry in the commercial register.
How much does it cost?
A fixed annual board fee, set in the mandate agreement after the intro call and paid to me personally as a board member. D&O insurance paid by the company is a condition. Third-party and authority fees are not included.
Do you accept crypto payments?
Yes, in selected cryptocurrencies, from a wallet attributed to the company, subject to screening and the same onboarding checks as any other payment. Fees are agreed in CHF.
Can you help with incorporation?
I can introduce trusted Swiss legal partners for the notary, commercial register and capital deposit steps.
What are the advantages of Switzerland for companies?
Political and economic stability; a competitive tax system, with corporate rates that vary by canton; a central location with access to European markets; a skilled, multilingual workforce; modern infrastructure and a strong research and innovation ecosystem; flexible labor law; a straightforward, business-friendly registration process; a global reputation for reliability; and data protection under the revised Federal Act on Data Protection, which the EU recognizes as adequate.
